Capio to Acquire the Swedish Primary Care Group Novakliniken

Capio AB, the healthcare company listed on Nasdaq Stockholm, has agreed to buy the Swedish primary care group Novakliniken. Capio will take over 100 percent of the shares. The deal was announced in late February 2018.

Novakliniken mainly runs healthcare at eight clinics in the southeast of Skåne, the southernmost region of Sweden. It also offers some occupational health and dental care services. In 2017, the group had turnover of about MSEK 245 and around 45,000 listed patients.

The purchase price is MSEK 88, based on enterprise value. However, the deal is not final yet. It still needs approval from the Swedish Competition Authority and from Region Skåne.

Once the purchase is complete, Capio will have 28 primary care centers in Skåne. Together, those centers will serve about 220,000 listed patients. Capio expected to close the deal in April 2018.

The purchase also brings dental care into the deal, since Novakliniken provides both healthcare and dental services.

Law firm Vinge advised Capio on the transaction. Anders Strid led the work, while Frida Bäckegren served as project manager. The team also covered public procurement, commercial property, employment and competition law.
